The Employer: WEM Business Services L.L.C ("WEM" or "the Employer"), a limited liability company duly registered in the Arab Republic of Egypt, acting as Employer of Record, with its principal office located at [Address], Cairo, Egypt, represented herein by its Managing Partner.

صاحب العمل: شركة WEM لخدمات ودعم الأعمال (شركة ذات مسؤولية محدودة) ("WEM" أو "صاحب العمل")، شركة مسجّلة حسب الأصول في جمهورية مصر العربية، تعمل بصفتها صاحب العمل القانوني (Employer of Record)، الكائن مقرّها الرئيسي بـ [العنوان]، القاهرة، مصر، ويمثلها في هذا العقد الشريك المُدير.

The Employee: Mr./Ms. [Full Name], Egyptian National holding National ID No. [ID Number], born on [Date of Birth], residing at [Residential Address] ("Employee").

الموظف: السيد/ة [الاسم الكامل]، مصري الجنسية، حامل/ة الرقم القومي رقم [الرقم القومي]، من مواليد [تاريخ الميلاد]، المقيم/ة بـ [العنوان السكني] ("الموظف").

Position: WEM hires the Employee in the position of [Job Title] within WEM's [Department Name].

الوظيفة: توظّف WEM الموظف في وظيفة [المسمى الوظيفي] داخل [اسم القسم] في شركة WEM.

Duties: The Employee shall perform the duties customary to the position and any additional duties reasonably assigned by WEM, in accordance with the technical scope outlined in the Service Agreement between WEM and the Service Recipient.

المهام: يلتزم الموظف بأداء المهام المعتادة للوظيفة وأي مهام إضافية يُكلّف بها من قِبل WEM بشكل معقول، وفقاً للنطاق الفني الموضّح في اتفاقية الخدمة بين WEM والمستفيد من الخدمة.

Reporting Structure: The Employee reports directly to WEM's designated Manager. Operational direction from the Service Recipient is conveyed through WEM and does not establish a direct supervisory relationship with the Service Recipient.

هيكل التبعية: يتبع الموظف مباشرةً لمدير WEM المُعيَّن. التوجيهات التشغيلية من المستفيد من الخدمة تُنقل عبر WEM ولا تنشئ علاقة إشراف مباشرة مع المستفيد من الخدمة.

Workplace: The Employee shall perform work primarily from WEM's Managed Workspace in Cairo. Remote work arrangements, if any, require prior written approval from WEM and are governed by WEM's Remote Work Policy.

مكان العمل: يؤدي الموظف العمل بصورة رئيسية من المكتب المُدار التابع لـ WEM في القاهرة. أي ترتيبات للعمل عن بُعد تتطلب موافقة كتابية مسبقة من WEM، وتخضع لسياسة العمل عن بُعد المعتمدة من WEM.

Commencement Date: [Start Date]. The Contract continues for an indefinite period unless terminated in accordance with Article 11.

تاريخ بدء العمل: [تاريخ البدء]. ويستمر العقد لمدة غير محددة ما لم يتم إنهاؤه وفقاً للمادة ١١.

Probation Period: The first three (3) months from the Commencement Date constitute a probation period, in accordance with Article 35 of Labour Law 14/2025. During probation, either party may terminate the Contract without notice or end-of-service compensation.

فترة الاختبار: تُعدّ أول ثلاثة (٣) أشهر من تاريخ بدء العمل فترة اختبار، وفقاً لـ المادة ٣٥ من قانون العمل ١٤/٢٠٢٥. خلال هذه الفترة، يحق لأي من الطرفين إنهاء العقد دون إخطار أو تعويض نهاية خدمة.

Standard Hours: Eight (8) hours per day, forty (40) hours per week, distributed over five (5) working days per Articles 80–81 of Labour Law 14/2025.

ساعات العمل المعتادة: ثماني (٨) ساعات يومياً، أربعون (٤٠) ساعة أسبوعياً، موزّعة على خمسة (٥) أيام عمل وفقاً لـ المادتين ٨٠ و ٨١ من قانون العمل ١٤/٢٠٢٥.

Overtime Compensation: Overtime work shall not exceed two (2) hours per day, and shall be compensated at 35% above the normal hourly rate for daytime work and 70% above for nighttime work, per Articles 82–83.

تعويض العمل الإضافي: لا يجوز أن يتجاوز العمل الإضافي ساعتين (٢) يومياً، ويُعوَّض بـ ٣٥٪ فوق الأجر الساعي المعتاد للعمل النهاري، و ٧٠٪ فوقه للعمل الليلي، وفقاً لـ المادتين ٨٢ و ٨٣.

Rest Periods: Daily rest of one continuous hour, weekly rest of one full day, plus official Egyptian public holidays as enacted annually.

فترات الراحة: راحة يومية ساعة واحدة متصلة، راحة أسبوعية يوم كامل، إضافةً إلى العطلات الرسمية المصرية المُعتمدة سنوياً.

Gross Monthly Salary: EGP [Amount] (in words: [Amount in Words] Egyptian Pounds).

الأجر الإجمالي الشهري: [المبلغ] جنيه مصري (فقط: [المبلغ كتابةً] جنيه مصري لا غير).

Payment Date: Salary is paid no later than the seventh (7th) day of the following calendar month, by bank transfer to the Employee's bank account, in accordance with Article 41 of Labour Law 14/2025.

تاريخ السداد: يُدفع الأجر في موعد أقصاه اليوم السابع (٧) من الشهر التالي، عن طريق التحويل البنكي إلى الحساب البنكي للموظف، وفقاً لـ المادة ٤١ من قانون العمل ١٤/٢٠٢٥.

Minimum Wage Compliance: The Gross Salary equals or exceeds the National Council of Wages (NCW) minimum wage of EGP 8,000/month gross (announced July 2026; EGP 7,000 remains the decreed private-sector floor) as set by NCW Decree 15/2025 (effective March 2025), in alignment with Article 1(c) of Labour Law 14/2025.

الامتثال للحد الأدنى للأجور: الأجر الإجمالي يساوي أو يتجاوز الحد الأدنى للأجور المُحدّد من المجلس القومي للأجور بقيمة ٨,٠٠٠ جنيه شهرياً (إجمالي، سارٍ من يوليو ٢٠٢٦) وفقاً لـ قرار المجلس القومي للأجور ١٥/٢٠٢٥ (الساري في مارس ٢٠٢٥)، بما يتوافق مع المادة ١(ج) من قانون العمل ١٤/٢٠٢٥.

Annual Bonus: An annual bonus equivalent to at least 7% of the basic salary, conditional on the Employee's continued employment as at the bonus date, in accordance with Article 12 of Law 5/1978 (as preserved under Labour Law 14/2025).

العلاوة السنوية: علاوة سنوية لا تقل عن ٧٪ من الأجر الأساسي، مشروطة باستمرار الموظف في العمل بتاريخ منح العلاوة، وفقاً لـ المادة ١٢ من القانون ٥/١٩٧٨ (المُحتفظ به ضمن أحكام قانون العمل ١٤/٢٠٢٥).

Wage Currency: Salary is denominated and paid in Egyptian Pounds (EGP). Foreign currency exchange risk is borne by the Service Recipient through WEM's Service Agreement.

عملة الأجر: الأجر مُقوَّم ويُسدَّد بالجنيه المصري. مخاطر صرف العملات الأجنبية يتحمّلها المستفيد من الخدمة وفقاً لاتفاقية الخدمة مع WEM.

Income Tax Withholding: WEM shall withhold monthly income tax from the Employee's Gross Salary and remit it to the Egyptian Tax Authority (ETA) by the 15th day of each following month, per Income Tax Law 91/2005 and its 2023/2024 amendments.

خصم ضريبة الدخل: تقوم WEM بخصم ضريبة الدخل الشهرية من الأجر الإجمالي للموظف وتوريدها لمصلحة الضرائب المصرية بحلول اليوم الـ ١٥ من كل شهر تالٍ، وفقاً لـ قانون ضريبة الدخل ٩١/٢٠٠٥ وتعديلاته ٢٠٢٣/٢٠٢٤.

Tax Brackets (2025/2026):

شرائح الضريبة (٢٠٢٥/٢٠٢٦):

Social Insurance Contributions: Per Social Insurance Law 148/2019, monthly contributions on Gross Salary (capped at EGP 16,700/month and floored at EGP 2,700/month for 2025/2026):

اشتراكات التأمينات الاجتماعية: وفقاً لـ قانون التأمينات الاجتماعية ١٤٨/٢٠١٩، اشتراكات شهرية على الأجر الإجمالي (بحد أقصى ١٦,٧٠٠ جنيه شهرياً وحد أدنى ٢,٧٠٠ جنيه شهرياً لـ ٢٠٢٥/٢٠٢٦):

Entitlement (Article 47 of Labour Law 14/2025):

• 21 working days per year (employees with less than 10 years of service)
• 30 working days per year (employees with 10+ years of service or over 50 years of age)
• 45 working days per year (employees with disabilities)

الاستحقاق (المادة ٤٧ من قانون العمل ١٤/٢٠٢٥):

• ٢١ يوم عمل سنوياً (للموظفين بأقل من ١٠ سنوات خدمة)
• ٣٠ يوم عمل سنوياً (للموظفين بـ ١٠ سنوات خدمة أو أكثر، أو فوق سن ٥٠)
• ٤٥ يوم عمل سنوياً (للموظفين من ذوي الإعاقة)

Carry-Over: Unused leave may be carried over for up to one (1) year. Beyond that, untaken leave is forfeited unless WEM withheld approval.

الترحيل: يجوز ترحيل الإجازات غير المستخدمة لمدة سنة (١) واحدة. بعد ذلك، تسقط الإجازة ما لم تكن WEM قد امتنعت عن الموافقة عليها.

Cash Settlement on Exit: Upon termination, unused leave is paid in cash at the rate of the most recent Gross Salary.

التسوية النقدية عند الانتهاء: عند انتهاء العقد، تُسدَّد قيمة الإجازات غير المستخدمة نقداً بمعدل آخر أجر إجمالي.

Sick Leave (Article 54 of Labour Law 14/2025): Up to 180 days per year upon medical certification:

• First 90 days: 75% of Gross Salary
• Following 90 days: 85% of Gross Salary

الإجازة المرضية (المادة ٥٤ من قانون العمل ١٤/٢٠٢٥): حتى ١٨٠ يوم سنوياً بشهادة طبية:

• أول ٩٠ يوم: ٧٥٪ من الأجر الإجمالي
• الـ ٩٠ يوم التالية: ٨٥٪ من الأجر الإجمالي

Maternity Leave (Article 89): Female employees are entitled to four (4) months of paid maternity leave at full salary, up to three times during the entire term of service.

إجازة الوضع (المادة ٨٩): تستحق الموظفة أربعة (٤) أشهر إجازة وضع مدفوعة بكامل الأجر، حتى ثلاث مرات خلال مدة الخدمة بأكملها.

Hajj/Umrah Leave: Once during the entire term of employment, the Employee is entitled to one (1) month paid leave for Hajj or Umrah, after completing five (5) years of continuous service.

إجازة الحج/العمرة: مرة واحدة خلال مدة الخدمة، يستحق الموظف إجازة شهر (١) مدفوعة الأجر لأداء الحج أو العمرة، بعد إكمال خمس (٥) سنوات خدمة متصلة.

Casual Leave: Six (6) days per year, deductible from annual leave, with no more than two (2) consecutive days at a time.

الإجازة العارضة: ستة (٦) أيام سنوياً، تُخصم من الإجازة السنوية، بحيث لا تتجاوز يومين (٢) متتاليين في كل مرة.

How end of service is protected: The Employee's end-of-service protection in Egypt is provided through the social insurance system (Law No. 148 of 2019), to which the Employer registers the Employee and contributes monthly. Egyptian labour law does not impose a general Gulf-style employer gratuity payable on ordinary resignation or expiry.

On termination, the Employee's statutory entitlements are: unpaid wages to the last working day; payment for the accrued and unused annual-leave balance at the last comprehensive wage; the notice period or payment in lieu of it; and, where the Employer ends an indefinite contract without a legitimate cause, statutory compensation of not less than two (2) months' gross wage for each year of service. Where a fixed-term contract is ended early by the Employer, compensation of one (1) month's gross wage per year of service applies.

Any additional contractual gratuity that the Employer chooses to grant is a contractual benefit, is stated in Schedule A, and is not a statutory entitlement.

كيف تُحمى نهاية الخدمة: تُوفَّر حماية نهاية خدمة الموظف في مصر من خلال نظام التأمينات الاجتماعية (القانون رقم ١٤٨ لسنة ٢٠١٩)، الذي يُسجِّل فيه صاحب العمل الموظف ويسدد عنه اشتراكاً شهرياً. ولا يفرض قانون العمل المصري مكافأة نهاية خدمة عامة على صاحب العمل على النمط الخليجي تُستحق عند الاستقالة العادية أو انتهاء المدة.

وعند انتهاء الخدمة تكون مستحقات الموظف القانونية: الأجور غير المدفوعة حتى آخر يوم عمل؛ ومقابل رصيد الإجازات السنوية غير المستعملة محسوباً على آخر أجر شامل؛ ومهلة الإخطار أو مقابلها النقدي؛ وفي حال إنهاء صاحب العمل عقداً غير محدد المدة بغير سبب مشروع، تعويض قانوني لا يقل عن أجر شهرين (٢) عن كل سنة خدمة. أما إنهاء العقد محدد المدة قبل أوانه من جانب صاحب العمل فيستوجب تعويضاً بأجر شهر (١) عن كل سنة خدمة.

وأي مكافأة تعاقدية إضافية يقرر صاحب العمل منحها تُعد ميزة تعاقدية يُنص عليها في الملحق (أ)، وليست استحقاقاً قانونياً.

Provisioning: WEM carries a monthly accounting provision for termination exposure (notice, accrued leave, and statutory termination compensation), calculated on the entitlements above and reviewed at each period end. The provision is an internal accounting measure and does not itself create an entitlement beyond those set out in clause 10.1.

المخصّصات: تُكوِّن WEM مخصصاً محاسبياً شهرياً لمواجهة أعباء إنهاء الخدمة (الإخطار، ورصيد الإجازات، والتعويض القانوني عن الإنهاء)، يُحتسب على أساس المستحقات المبيّنة أعلاه ويُراجَع في نهاية كل فترة. وهذا المخصّص إجراء محاسبي داخلي ولا يُنشئ بذاته استحقاقاً يجاوز ما ورد في البند ١٠-١.

Termination by Notice: Either party may terminate the Contract upon three (3) months' written notice, regardless of length of service, in accordance with Labour Law No. 14 of 2025.

الإنهاء بالإخطار: يحق لأي طرف إنهاء العقد بإخطار كتابي مدته ثلاثة (٣) أشهر، بغض النظر عن مدة الخدمة، وفقاً لقانون العمل رقم ١٤ لسنة ٢٠٢٥.

Termination for Cause (Article 69): WEM may terminate the Contract without notice in cases of gross misconduct as enumerated in Article 69, including: assault, theft, intoxication during work, divulging trade secrets, gross negligence resulting in material damage, and unjustified absence exceeding 20 days in a year (or 10 consecutive days), after due notice and hearing.

الإنهاء بسبب جسيم (المادة ٦٩): يحق لـ WEM إنهاء العقد بدون إخطار في حالات الخطأ الجسيم المنصوص عليها في المادة ٦٩، شاملةً: الاعتداء، السرقة، تعاطي المسكرات أثناء العمل، إفشاء الأسرار التجارية، الإهمال الجسيم المُسبّب لضرر مادي، الغياب غير المُبرّر لأكثر من ٢٠ يوم في السنة (أو ١٠ أيام متتالية)، وذلك بعد إنذار وسماع للدفاع.

Termination Settlement: Within fourteen (14) days of termination, WEM shall settle:

1. Outstanding salary up to the termination date
2. End-of-service compensation per Article 10
3. Cash value of unused annual leave per Article 8.3
4. Notice period payment in lieu, if applicable

تسوية الإنهاء: خلال أربعة عشر (١٤) يوماً من تاريخ الإنهاء، تقوم WEM بتسوية:

1. الراتب المستحق حتى تاريخ الإنهاء
2. مكافأة نهاية الخدمة وفقاً للمادة ١٠
3. القيمة النقدية للإجازات غير المستخدمة وفقاً للمادة ٨/٣
4. مقابل فترة الإخطار، إن وجدت

Definition of IP: "Intellectual Property" means all rights in inventions, patents, designs, copyrights, software code, databases, trademarks, trade secrets, technical knowledge, methodologies, and any other creations or improvements, whether registered or unregistered, conceived or developed by the Employee during the term of this Contract.

تعريف الملكية الفكرية: يُقصد بـ "الملكية الفكرية" جميع الحقوق المتعلقة بالاختراعات، براءات الاختراع، التصاميم، حقوق المؤلف، الأكواد البرمجية، قواعد البيانات، العلامات التجارية، الأسرار التجارية، المعرفة الفنية، المنهجيات، وأي ابتكارات أو تحسينات أخرى، سواء كانت مُسجَّلة أم لا، يبتكرها أو يطوّرها الموظف خلال مدة هذا العقد.

Assignment of Work-Created IP (per Article 184 of IP Protection Law 82/2002): All Intellectual Property created by the Employee:

• During working hours, or
• Using WEM's resources, equipment, or information, or
• In the course of executing assignments related to the Service Agreement

shall vest automatically, exclusively, and irrevocably in WEM upon creation. WEM, in turn, assigns such IP to the Service Recipient under the Service Agreement, ensuring the end-client owns the work product.

التنازل عن الملكية الفكرية المُنشأة خلال العمل (وفقاً للمادة ١٨٤ من قانون حماية الملكية الفكرية ٨٢/٢٠٠٢): جميع الملكية الفكرية التي ينشئها الموظف:

• أثناء ساعات العمل، أو
• باستخدام موارد أو أجهزة أو معلومات WEM، أو
• في إطار تنفيذ المهام المرتبطة باتفاقية الخدمة

تؤول تلقائياً، حصرياً، ودون رجعة إلى WEM فور إنشائها. وتُحوّل WEM بدورها هذه الملكية الفكرية إلى المستفيد من الخدمة بموجب اتفاقية الخدمة، بما يضمن ملكية العميل النهائي لمُخرجات العمل.

Inventor Compensation (Article 17 of Law 82/2002): Where the Employee's invention generates exceptional economic value materially exceeding standard duty compensation, the Employee may claim equitable additional remuneration. Standard salary is deemed full consideration for routine work-product IP.

مكافأة المخترع (المادة ١٧ من القانون ٨٢/٢٠٠٢): في حال أن اختراعاً للموظف حقّق قيمة اقتصادية استثنائية تتجاوز التعويض المعتاد للمهام بصورة جوهرية، يحق للموظف المطالبة بمكافأة إضافية عادلة. ويُعتبر الأجر العادي مقابلاً كاملاً للملكية الفكرية الناتجة عن العمل الروتيني.

Moral Rights: The Employee waives, to the maximum extent permissible under Egyptian law, all moral rights in work-product IP for commercial exploitation purposes, while retaining the right of attribution where reasonably practicable.

الحقوق الأدبية: يتنازل الموظف، إلى أقصى حد يسمح به القانون المصري، عن جميع الحقوق الأدبية في الملكية الفكرية الناتجة عن العمل لأغراض الاستغلال التجاري، مع الاحتفاظ بحق نسبة العمل إليه متى كان ذلك ممكناً بشكل معقول.

Pre-Existing IP: Any IP owned by the Employee prior to this Contract's commencement, and disclosed in writing in Annex A, remains the Employee's property. Such IP is licensed (non-exclusively, royalty-free, worldwide) to WEM only to the extent necessary to perform the assigned duties.

الملكية الفكرية السابقة: أي ملكية فكرية يمتلكها الموظف قبل بدء هذا العقد، ويُفصح عنها كتابياً في الملحق (أ)، تبقى ملكاً للموظف. وتُرخَّص هذه الملكية الفكرية (ترخيصاً غير حصري، خالٍ من حقوق الامتياز، عالمياً) إلى WEM فقط بالقدر اللازم لأداء المهام المُكلَّف بها.

Confidential Information: The Employee shall, during the term of this Contract and for three (3) years thereafter, maintain strict confidentiality regarding all non-public information of WEM, the Service Recipient, and their respective clients, partners, suppliers, and counterparties, including: financial data, business strategies, customer lists, technical specifications, software code, methodologies, and any information marked or reasonably understood to be confidential.

المعلومات السرّية: يلتزم الموظف، خلال مدة هذا العقد ولمدة ثلاث (٣) سنوات بعد انتهائه، بالحفاظ على السرية التامة لجميع المعلومات غير المُعلنة الخاصة بـ WEM والمستفيد من الخدمة وعملائهم وشركائهم ومورّديهم والأطراف ذات الصلة، شاملةً: البيانات المالية، الاستراتيجيات التجارية، قوائم العملاء، المواصفات الفنية، أكواد البرمجيات، المنهجيات، وأي معلومات مُحدَّدة أو يُفهم بشكل معقول أنها سرّية.

Permitted Disclosures: Confidentiality does not apply to information that: (a) was public prior to disclosure; (b) became public through no fault of the Employee; (c) was rightfully received from a third party without confidentiality obligations; or (d) is required by law to be disclosed (with prior notice to WEM where lawful).

الإفصاحات المسموح بها: لا تسري السرية على المعلومات التي: (أ) كانت علنية قبل الإفصاح؛ (ب) أصبحت علنية دون خطأ من الموظف؛ (ج) تم استلامها بشكل مشروع من طرف ثالث دون التزامات سرية؛ أو (د) يستلزم القانون الإفصاح عنها (مع إخطار مسبق لـ WEM حيث يكون ذلك مسموحاً قانوناً).

Return of Materials: Upon termination, the Employee shall return all WEM and Service Recipient property, including documents, electronic files, devices, access cards, and credentials, and shall permanently delete all copies in their possession.

إعادة المواد: عند انتهاء العقد، يُعيد الموظف جميع ممتلكات WEM والمستفيد من الخدمة، بما في ذلك المستندات والملفات الإلكترونية والأجهزة وبطاقات الوصول وبيانات الاعتماد، ويحذف نهائياً جميع النسخ التي بحوزته.

Compliance Framework: Both parties shall comply with the Egyptian Personal Data Protection Law No. 151 of 2020, its Executive Regulations, and, where the Service Recipient is established in the European Union or processes EU data subjects' data, the EU General Data Protection Regulation (GDPR).

الإطار التنظيمي: يلتزم الطرفان بـ قانون حماية البيانات الشخصية المصري رقم ١٥١ لسنة ٢٠٢٠، ولائحته التنفيذية، وفي الحالات التي يكون فيها المستفيد من الخدمة مُؤسَّساً في الاتحاد الأوروبي أو يُعالج بيانات أفراد بالاتحاد الأوروبي، اللائحة العامة لحماية البيانات في الاتحاد الأوروبي (GDPR).

Data Processing by Employee: The Employee shall process personal data only on documented instructions from WEM. The Employee shall:

• Use personal data solely for assigned tasks
• Not transfer personal data outside Egypt without prior written authorisation
• Implement reasonable technical and organisational security measures
• Report any actual or suspected data breach to WEM within twenty-four (24) hours

معالجة البيانات بواسطة الموظف: يُعالج الموظف البيانات الشخصية فقط بناءً على تعليمات موثّقة من WEM. ويلتزم الموظف بـ:

• استخدام البيانات الشخصية حصرياً للمهام المُكلَّف بها
• عدم نقل البيانات الشخصية خارج مصر دون إذن كتابي مسبق
• تطبيق تدابير أمنية تقنية وتنظيمية معقولة
• الإبلاغ عن أي اختراق بيانات فعلي أو مُشتبه به إلى WEM خلال أربع وعشرين (٢٤) ساعة

Cross-Border Transfers: Cross-border transfers of personal data are governed by WEM's Data Processing Agreement (DPA) with the Service Recipient, which incorporates Standard Contractual Clauses (SCCs) where applicable.

النقل عبر الحدود: يحكم النقل عبر الحدود للبيانات الشخصية اتفاقية معالجة البيانات (DPA) المُوقَّعة بين WEM والمستفيد من الخدمة، والتي تتضمن البنود التعاقدية القياسية (SCCs) حيث يكون ذلك مطلوباً.

Employee Privacy Rights: The Employee retains rights under Law 151/2020 regarding their own personal data held by WEM, including rights of access, rectification, deletion, and objection. WEM shall respond to such requests within thirty (30) days.

حقوق خصوصية الموظف: يحتفظ الموظف بحقوقه وفقاً للقانون ١٥١/٢٠٢٠ بشأن بياناته الشخصية المُحفوظة لدى WEM، بما في ذلك حقوق الاطلاع والتصحيح والحذف والاعتراض. وتلتزم WEM بالرد على هذه الطلبات خلال ثلاثين (٣٠) يوماً.

Non-Compete (Article 686 of Civil Code): For a period of twelve (12) months following termination, the Employee shall not engage, directly or indirectly, in any business that competes with WEM or the Service Recipient within the geographic scope of [Egypt and/or specified GCC countries], and limited to the same line of business in which the Employee was active.

عدم المنافسة (المادة ٦٨٦ من القانون المدني): لمدة اثني عشر (١٢) شهراً بعد انتهاء العقد، يلتزم الموظف بعدم الانخراط، بشكل مباشر أو غير مباشر، في أي نشاط يُنافس WEM أو المستفيد من الخدمة ضمن النطاق الجغرافي لـ [مصر و/أو دول الخليج المحددة]، ومُقيَّداً بنفس مجال النشاط الذي كان الموظف نشطاً فيه.

Non-Solicitation: For twelve (12) months following termination, the Employee shall not solicit employees or contractors of WEM or the Service Recipient to leave their engagement, nor solicit clients of WEM with whom the Employee had direct dealings during the last twelve (12) months of employment.

عدم الاستقطاب: لمدة اثني عشر (١٢) شهراً بعد انتهاء العقد، يلتزم الموظف بعدم استقطاب موظفي أو مقاولي WEM أو المستفيد من الخدمة لترك عملهم، وعدم استقطاب عملاء WEM الذين كان للموظف معهم تعاملات مباشرة خلال آخر اثني عشر (١٢) شهراً من العمل.

Amicable Settlement: The parties shall endeavour to resolve any dispute through good-faith negotiation for a period of thirty (30) days from written notice of dispute.

التسوية الودية: يسعى الطرفان لحل أي نزاع عن طريق التفاوض بحسن نية لمدة ثلاثين (٣٠) يوماً من تاريخ الإخطار الكتابي بالنزاع.

Labour Courts: Failing amicable settlement, individual labour disputes shall be referred exclusively to the competent Egyptian Labour Courts under Articles 218–227 of Labour Law 14/2025.

محاكم العمل: في حال تعذُّر التسوية الودية، تُحال نزاعات العمل الفردية حصرياً إلى محاكم العمل المصرية المختصة وفقاً للمواد ٢١٨ إلى ٢٢٧ من قانون العمل ١٤/٢٠٢٥.

Language: This Contract is executed in Arabic and English. In case of conflict, the Arabic version prevails, in accordance with Egyptian law.

اللغة: حُرّر هذا العقد باللغتين العربية والإنجليزية. في حالة التعارض، تسود النسخة العربية، وفقاً للقانون المصري.

Entire Agreement: This Contract, together with its Annexes, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements.

الاتفاق الكامل: يُمثّل هذا العقد، مع ملاحقه، الاتفاق الكامل بين الطرفين، ويُلغي جميع المفاوضات أو الإفادات أو الاتفاقيات السابقة.

Severability: If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

قابلية الفصل: إذا اعتُبر أي بند باطلاً أو غير قابل للنفاذ، تظل البنود المتبقية سارية المفعول بالكامل.

Amendments: No amendment to this Contract is valid unless in writing and signed by both parties.

التعديلات: لا يكون أي تعديل على هذا العقد ساري المفعول ما لم يكن مكتوباً وموقّعاً من الطرفين.

Notices: All notices shall be in writing and sent to the registered addresses of the parties, or by email with confirmed delivery.

الإخطارات: توجَّه جميع الإخطارات كتابةً إلى العناوين المُسجَّلة للطرفين، أو بالبريد الإلكتروني مع تأكيد التسليم.

Counterparts: This Contract is executed in three (3) original counterparts: one for WEM, one for the Employee, and one for filing with the relevant Labour Office per Article 30 of Labour Law 14/2025.

النسخ: حُرّر هذا العقد من ثلاث (٣) نسخ أصلية: نسخة لـ WEM، نسخة للموظف، ونسخة للإيداع لدى مكتب العمل المختص وفقاً للمادة ٣٠ من قانون العمل ١٤/٢٠٢٥.
